Initiated acquistion of Citation Clinical Labeling

AWT Labels & Packaging, a portfolio company of Mason Wells acquired Citation Clinical Labeling a global leader in clinical labeling since 1963. Citation is based in Hauppauge, NY.  Citation provides clinical trial labels for pharmaceutical and biotechnology companies, clinical research organizations and clinical packagers.  

 

Advised on acquistion of Arrowhead Equipment Inc.

Douglas Dynamics, subsidiary Dejana Truck and Utility Equipment acquired Arrowhead Equipment Inc.  the leading truck upfitter in upstate New York.  Arrowhead has locations in Queensbury and Albany, NY.   This acquisition in the next step in expanding the reach of the Dejana upfit business improving their ability to serve current and potential customers. 

 

Advised on acquistion of Dejana Truck and Utility Equipment

Douglas Dynamics, North America's premier manufacturer of vehicle attachments and equipment, has acquired Dejana Truck and Utility Equipemt. The $206 million dollar acquisition is a seamless extension and expansion of the up fit strategy initiated with the Henderson Products acquisition at the end of 2014. The increase of exposure across all commercial work vehicle segments will provide logistical oportunities for growth. 

 

Advised on sale of Barcodes West

ID Label Incorporated, a leading manufacturer of pre-printed variable information barcode labels, acquired Barcodes West. The transaction closed April 2016. Hanley, Hammill, Thomas acted as the exclusive advisor to Barcodes West. 

 

Advised on acquisition of Chrislan Ceramics & Glassware

Boelter Co., a leader in beverage, food service equipment, and branding, acquired Chrislan Ceramics & Glassware. The transaction closed March 2016. Hanley, Hammill, Thomas acted as the exclusive advisor to Boelter Co. 

 

Advised on acquisiton of Bowers Transmission and Power

Palmer Johnson Power Systems, a leader in North American distribution and servicing components for heavy-duty, off highway transmission and axles acquired Bowers Transmission and Power. The transaction closed May 2015. Hanley, Hammill, Thomas acted as the exclusive advisor to Palmer Johnson. 

 

Advised on acquisition of Henderson Products

Douglas Dynamics (NYSE: PLOW), North America's premier manufacturer of vehicle attachments and equipment acquired Henderson Products for $95 million in cash, subject to working capital, cash and other adjustments.  The transaction is expected to close on December 31, 2014.  Hanley, Hammill Thomas acted as the exclusive advisor to Douglas Dynamics.  

 

Advised on acquisition of Griffin Gear 

Advised on the acquisition of Griffin Gear who specializes in manufacturing quality replacement gearing and gearbox rebuilds for heavy industrial applications including power generation, oil & gas and mining. 

 

Advised on acquisition of Trynex International

Advised Douglas Dynamics (NYSE: PLOW), on the acquisition of TrynEx International, the industry leader in pick up truck mounted salt and sand de-icing equipment.  TrynEx also has strong market positions in the lawn and garden space with its TurfEx and SweepEx brands.   

 

Advised on acquisition of Dura Bar & Dura Bar Metal Services

Advised on the acquisition of Dura Bar and Dura Bar Metal Services, part of Wells Manufacturing Co. Dura Bar is the world's largest producer of continuous cast iron bar with operations in Woodstock, IL; York, PA; Salisbury, NC and Changzhou, China that employ 360 people.      

 

Advised on acquisition of Havlik Gear 

Advised on the acquisition of specialty gear manufacturer focused on providing complex, large gearing to the mining, energy, transportation, and chemical industries.  

 

Led the Acquisition of Wuxi Shengda a Chinese Mining Equipment Company
Acquisition of former state-owned enterprise, based Northwest of Shanghai, China. #4 market position in Tier III mining equipment market. Involved negotiating with local government to relocate the business. Negotiated compensation from the government to move the facility to new location.

 

Continental Conveyor a Mining Transport Equipment Manufacturer
Acquisition of the world leader in bulk material handling for the mining industry. Purchased from a private owner.

 

Mid-Market Manufacturer

Acquisition of mid-market manufacturer based in US with operations in Hong Kong. Mentored new corporate development team member on the entire transaction process.

 

Acquisition of #1 Player in Converting Segment

Led team in auction process to purchase an entity from a leading Scandinavian private equity firm. The operation was high volume converting business primarily serving the electronics markets. Based in Europe, it had operating units in multiple China locations, Brazil and Mexico. Required buying out China subsidiaries.


Led Stock Transaction 

Acquired leading supplier of precision converted parts to Samsung. Based in Korea with operations in China that had to be bought out as well.

Australian MRO supplier of first aid related products.

U.S. based medical wound care converter. Structured transaction to avoid IP tag along issues.

Structured and led purchase of medical wound care products along with other adhesive die cut parts. Located in midwest.  


International Barcode Label Acquisition

Asset purchase of bar code identification label manufacturing operation in Thailand.

Advised on purchase of wire marker sleeve manufacturer based in Northern Europe.

 

S.E. Asian Electronics Part Converter

Led acquisition of Singapore based precision die cut converter serving the electronic storage industry. Included the buyout of the Chinese operating entity. Transaction included a significant earn out tied to retention of sales from a major customer.


China Transaction

China based label manufacturer. Exited transaction due to FCPA violations discovered just prior to close.

 

Mobile Software Acquisition

Assisted in acquisition of leader in mobile workforce automated software and hardware solutions. Completed a cash for stock transaction that included a significant earnout component.


European Label Converter

Initiated the transaction and trained a new corporate development team member on international acquisitions. The company was a leading label, printer and applicator manufacturer located in Europe.

Divestitures

Divested software services business located in the U.S. by spinning off to employees of company.

Led attempted acquisition of data card software and bar code label design software company. Terminated transaction immediately prior to closing due to business irregularities discovered late in diligence that caused significant legal exposure to the buyer.


Motor Sports Business Divestiture

Led sell side transaction requiring sale of non-performing business. Sale averted personal bankruptcy filing for private owners.


Canadian Software Company Acquisition

Stock purchase transaction to acquire #2 provider of barcode label design software, based in Canada. Completed within 90 days of acquiring #1 provider below.
