  • Work with you to create your acquisition road map which will help us hunt, not fish, for acquisitions. 
  • Following the road map guidelines we will research the markets for potential target companies that meet your detailed criteria.  
  • Develop and maintain a database of information with indepth detail on each prospective candidate.
  • Define how we will make contact with each potential target.  This is backed up by research on the management team of each company so we know how to uniquely approach them.  
  • Conduct on-site visits on the prospects deemed to be "high potential" targets and provide detailed reporting back to the client.  
  • Provide assistance with valuation of the target company including market comps.
  • Structure offering letters, assist in negotiation of the transaction price, terms and deal structure.
  • Walk you through the detailed due diligence process, providing diligence assistance as needed.
  • Advise you on post acquisition integration using the myriad of experiences from our vast library of transaction work. 

Sell Side Advisory

  • Perform a detailed analysis of the business to be sold including assessment of the industry itself, the markets the business participates in, and core competencies as well as extensive study of the entity itself to understand its unique attributes, allowing us to properly position it for the sale process. 
  • Upon initial assessment we will develop a preliminary list of prospective buyers to discuss with you.  This will enable us to collaboratively establish the best buyer candidate targets possible.
  • Create an offering memorandum that uniquely positions the business in the M&A marketplace.  The offering memorandum will reflect not only the financial performance of the unit but highlight the most salable attributes of the business to best position it with the buyer audience.
  • Hanley, Hammill, Thomas will manage the entire process for you, minimizing distractions so that you can effectively run your business and maintain your focus.  This includes all managing communications with potential buyers, including site visits.  We work with you and your advisors on deal structuring, negotiation, and due diligence.  This all solidifies a timely and uneventful closing.
